Individual Entrepreneur Bobrov Vladyslav Andriiovych, Taxpayer Registration Number (RNOKPP) 3257103796 (hereinafter — the "Seller"), offers any legally capable person to enter into an agreement for the sale of goods and/or the production of custom-made items under the terms of this offer.
1. General Provisions
1.1. This offer is a public proposal of the Seller to enter into an agreement within the meaning of Articles 633, 641 and 642 of the Civil Code of Ukraine and is addressed to an indefinite circle of persons.
1.2. Full and unconditional acceptance of the offer (acceptance) occurs when the Customer places an order on the Website or in another manner provided for by this offer, and pays for it.
1.3. The agreement is considered concluded from the moment of acceptance and has the force of an agreement concluded in writing, in accordance with Article 11 of the Law of Ukraine "On Electronic Commerce" dated 03.09.2015 No. 675-VIII.
1.4. Relations involving a Customer who is a natural person purchasing goods for purposes not related to business activity are additionally governed by the Law of Ukraine "On Consumer Rights Protection" dated 12.05.1991 No. 1023-XII.
1.5. The exchange of documents, messages, and approvals between the Parties is carried out in writing via the Agreed Communication Channels — to the Seller's e-mail address specified in Section 21 of this offer, and to the e-mail address or phone number provided by the Customer when placing the order, including via messengers at those numbers.
1.6. A message sent via the Agreed Communication Channels is deemed received on the next business day after it is sent. Approval given via such channels has the force of a written approval.
2. Definitions
2.1. Website — the website www.belement.net.
2.2. Goods — finished products of the Seller presented on the Website.
2.3. Custom Order — the manufacture of products according to a design, dimensions, shape, color or other characteristics provided or approved by the Customer.
2.4. Design (Layout) — an image, logo, sketch or other graphic material provided by the Customer for application to the product.
2.5. Order — a request placed by the Customer for the purchase of Goods or for a Custom Order.
2.6. Agreed Communication Channels — the e-mail address, messenger phone number, or other means of communication provided by the Customer when placing an Order, and, on the Seller's side, the contact details specified on the Website and in Section 22 of this offer.
3. Subject of the Agreement
3.1. The Seller undertakes to transfer ownership of the Goods to the Customer, and the Customer undertakes to accept and pay for them.
3.2. Under a Custom Order, the Seller undertakes to manufacture products according to the approved design and specifications and deliver them to the Customer.
3.3. Part of the Goods is sold by the Seller under a commission agreement concluded with the owner of such Goods. In this case, the Seller acts in its own name, is a party to the sale agreement with the Customer, and bears toward the Customer all the obligations of a seller provided for by law.
3.4. The fact that the Goods belong to a third party does not affect the scope of the Customer's rights. All requests, claims, and demands for exchange, return, or remedy of defects are submitted to, and reviewed by, the Seller.
3.5. Payment for the Goods is made to the Seller's account. The Seller issues the document confirming the purchase of the Goods.
4. Order Placement Procedure
4.1. An order is placed via the Website, through a manager, by phone, in a messenger, or by e-mail.
4.2. An order is deemed accepted from the moment of its confirmation by the Seller via the Agreed Communication Channels, specifying the name, quantity, price and lead time.
4.3. The Customer is responsible for the accuracy of the information provided, including contact details and recipient information.
5. Custom Manufacturing
5.1. The Customer provides the Design in the format and quality specified by the Seller, and approves the size, shape, colors, quantity and attachment method of the product.
5.2. Production begins only after the Customer's approval of the final design via the Agreed Communication Channels. The approved design is final.
5.3. Changes to an approved design after production has started are possible only with the Seller's consent and are paid for separately by the Customer based on actual costs incurred.
5.4. The production period is calculated from the day following the day the design is approved and payment is received, in accordance with Section 7.
5.5. The Seller has the right to refuse to fulfil a Custom Order without explanation, including if the Design shows signs of violating legal requirements or third-party rights. In such a case, any funds paid are refunded to the Customer in full.
6. Minimum Order
6.1. For certain types of products, a minimum order quantity applies, as specified on the Website or communicated to the Customer when the order is agreed.
7. Price and Payment Procedure
7.1. Prices are indicated on the Website in Ukrainian hryvnias. The price of a Custom Order is determined based on the approved design and specifications.
7.2. The Seller has the right to change prices before an order is confirmed. The price of a confirmed order is not subject to change.
7.3. Payment is made by bank transfer. For Custom Orders, an advance payment is required in an amount agreed between the parties.
7.4. Individual payment terms may apply to business-entity customers on the basis of a separate agreement or invoice.
8. Delivery
8.1. Delivery is carried out by a carrier chosen by the Customer, at the Customer's expense, unless otherwise agreed by the parties.
8.2. The Seller's obligation to deliver the goods is deemed fulfilled from the moment the goods are handed over to the carrier. The risk of accidental loss or damage to the goods passes to the Customer at that moment, in accordance with Article 668 of the Civil Code of Ukraine.
8.3. The Seller is not responsible for delivery times by the carrier or for the consequences of the Customer providing inaccurate recipient details.
9. Production Lead Times
9.1. In-stock goods are shipped within 1-6 business days from the date of payment.
9.2. Standard production — 20-25 business days.
9.3. Custom Order — 20-25 business days from the date the design is approved.
9.4. Large orders for business entities — subject to separate agreement.
9.5. Lead times are extended for any delay by the Customer in approving the design, making payment, or providing the necessary information.
10. Acceptance of Goods
10.1. Receipt of the goods means their actual receipt by the Customer or recipient from the carrier.
10.2. The Customer must inspect the goods for quantity, completeness, and obvious defects at the time of receipt.
10.3. Defects identified upon receipt must be recorded in a carrier's report or by photo/video recording of the unpacking process. In the absence of such documentation, claims regarding mechanical damage or shortages will not be accepted.
11. Quality and Permissible Production Features
11.1. Products are manufactured from PVC and other materials using a process that allows for certain technical features which do not constitute defects, namely:
11.1.1. deviation of color shade from the on-screen image and from previous batches within standard coloring tolerances;
11.1.2. deviation of linear dimensions within ±1-2 mm;
11.1.3. minor unevenness of edges, mold marks and gate points;
11.1.4. simplification of small design elements that are technologically impossible to reproduce at the given size.
11.2. These features are disclosed to the Customer prior to production and do not constitute grounds for returning or replacing the product.
12. Exchange and Returns
12.1. A Customer who is a consumer has the right to withdraw from a distance contract within 14 days of receiving the goods, in accordance with Article 13 of the Law of Ukraine "On Consumer Rights Protection", provided that the product's appearance, consumer properties, and proof of purchase are preserved.
12.2. Exchange of non-food goods of proper quality is carried out in accordance with Article 9 of the Law of Ukraine "On Consumer Rights Protection", taking into account the List of Goods Not Subject to Exchange (Return) approved by Resolution No. 172 of the Cabinet of Ministers of Ukraine dated 19.03.1994.
12.3. Products manufactured under a Custom Order are goods made to the consumer's individual specifications and are not subject to return or exchange as goods of proper quality.
12.4. Defective goods are replaced, or their value refunded, in accordance with Article 8 of the Law of Ukraine "On Consumer Rights Protection". The cost of returning such goods is borne by the Seller.
12.5. Customers that are business entities do not have consumer rights; the return of goods of proper quality is possible only with the Seller's consent.
13. Warranty Obligations and Claims
13.1. The warranty period for products is 2 months from the date the goods are received.
13.2. The warranty does not cover damage caused by improper use, storage, washing, mechanical impact, or unauthorized modification of the product.
13.3. Claims are submitted via the Agreed Communication Channels, describing the defect and attaching photographs. The review period is 14 calendar days.
14. Seller's Intellectual Property
14.1. The Website design, texts, photographs, product images, trademark, and the Seller's own designs are objects of intellectual property rights protected under the laws of Ukraine.
14.2. The use of any materials from the Website without the Seller's written permission is prohibited.
15. Designs and the Customer's Intellectual Property
15.1. The Customer guarantees that it holds all rights necessary for the Design it provides and that the Design and its use do not infringe the intellectual property rights of third parties or the requirements of current Ukrainian law.
15.2. The Seller does not conduct a legal review of the Design and bears no responsibility for its content.
15.3. If any claims, demands, or sanctions are brought against the Seller in connection with the content of the Design, the Customer shall indemnify the Seller in full for any resulting losses, including fines, legal costs, and the cost of expert examinations.
15.4. Providing the Design does not obligate the Seller to retain it and does not grant the Customer any rights to the Seller's own designs.
16. Liability of the Parties
16.1. The parties are liable in accordance with the laws of Ukraine.
16.2. The Seller is not responsible for the Customer's inability to use the product in a manner not agreed upon when ordering.
17. Force Majeure
17.1. The parties are released from liability for failure to perform their obligations due to force majeure circumstances, including military actions, shelling, the introduction or amendment of martial law, power outages, fire, or decisions of government authorities.
17.2. The occurrence of such circumstances is confirmed by a certificate from the Chamber of Commerce and Industry of Ukraine or a regional chamber of commerce and industry.
18. Personal Data
18.1. Personal data is processed in accordance with the Law of Ukraine "On Personal Data Protection" dated 01.06.2010 No. 2297-VI and the Privacy Policy published on the Website.
18.2. Acceptance of this offer constitutes consent to the processing of personal data to the extent necessary to fulfil the order.
19. Procedure for the Exchange of Messages and Documents
20.1. All messages, approvals, demands, claims and other documents under this offer are made in writing and sent via the Agreed Communication Channels.
20.2. Any arrangements between the parties, including regarding the specifications and quantity of products, the design, price, production and delivery times, or their amendment or extension, take effect only after written approval via the Agreed Communication Channels. Oral arrangements have no legal effect.
20.3. A message sent via an Agreed Communication Channel is deemed received on the next business day after it is sent.
20.4. The parties recognize the legal validity of documents and messages exchanged via the Agreed Communication Channels, as well as documents signed with a qualified electronic signature.
20.5. A party shall notify the other party of any change to its contact details without delay. Until such notice is received, messages sent to the previous details are deemed duly sent.
20. Dispute Resolution
20.1. Disputes are resolved through negotiation, and if no agreement is reached, in court in accordance with the laws of Ukraine.
21. Term and Amendment of the Offer
21.1. This offer is valid from the date it is published on the Website until the date a new version is published.
21.2. The version of the offer in effect on the date the Seller confirms the order applies to that order.
